This position serves as chief legal counsel to Thrivent Financial Bank ('Bank'). As such, is responsible for coordinating and providing overall legal services to the Bank. Attorney also serves as legal counsel to the Bank's board of directors. Attorney works closely with the business partners at the Bank and within Thrivent Financial for Lutherans ('TFL') to maintain existing Bank products and services (including personal trust services), to develop new Bank products and services, to counsel, guide and support the relationship between the Bank and TFL, and to provide legal support and guidance to the business for the day-to-day operations of the Bank.
Position Roles/Responsibilities/Accountabilities
Provide legal advice and counsel to Bank management on all aspects of bank an trust operations Prepare and file all bank regulatory filings; serve as Bank���s legal representative before all federal and state bank regulatory authorities including the OTS, FDIC and state regulators Provide advice and counsel to Bank board of directors, including coordinating Bank governance consisting of board meeting agendas, drafting board meeting minutes Serve as Bank Secretary Assist other attorneys in complex and multifaceted legal issues, or in recommending action on issues of substantial or vital importance/impact Prepare briefs and documents or draft contracts for review and evaluation by others Provides assistance, training and guidance to other attorneys, paralegals or internal work units within area of expertise
Position Qualifications JD from an accredited law school Licensed to practice law within the United States Minimum 5 years relevant legal experience (in-house, law firm or regulatory agency) working with banking products and personal trust services Knowledge and experience related to the banking activities Knowledge and experience related to registered investment adviser activities Thorough working knowledge of banking acts and regulations Experience working with OTS or other regulatory agencies Experience working with boards of directors and senior management

External/Internal Dependencies Must ensure effective communication and case coordination with outside counsel and with client. Must be able to represent and advocate the Society���s interests in work with field personnel, members, internal clients and outside counsel Will work with all key business areas of the Bank, including individuals at staff, management, executive, and board levels Will work closely with the Bank���s chief compliance officer Will work closely with outside counsel, as needed Will have direct contact with the OTS and other related agencies (e.g. SEC) as it relates to banking and personal trust-related matters Will coordinate board activities with members of the GCO corporate secretarial staff
